1. Introduction
These Terms and Conditions ("Terms") constitute a legally binding agreement between you, the user ("User" or "you"), and Ticket N. Shop Pvt. Ltd. ("Ticketnshop," "we," "our," or "us"). These Terms govern your access to and use of our application, including any related websites, services, links, and components (collectively referred to as the "App").
By accessing, browsing, or using the App in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any additional guidelines, policies, or rules that may be posted and updated within the App from time to time. If you do not agree to these Terms, you must immediately cease using the App.
These Terms apply to all users of the App, whether individually or as part of a group, and extend to any person or entity acting on your behalf. By using the App, you affirm that you have the legal capacity to enter into these Terms and that you will abide by all applicable laws and regulations in relation to your use of the App. Ticketnshop reserves the right to modify, update, or amend these Terms at any time, and your continued use of the App constitutes acceptance of any such changes.
2. Intellectual Property Rights
All content, trademarks, service marks, logos, processes, and methodologies contained in the App are the exclusive intellectual property of Ticketnshop, unless otherwise indicated. Unauthorized use, reproduction, or distribution of this intellectual property is strictly prohibited and may result in legal action. Ticketnshop grants you a limited, revocable, non-transferable license to access and use the App solely for personal, non-commercial purposes, subject to these Terms.
3. Restrictions
You are expressly prohibited from the following:
Republishing, selling, sublicensing, or commercializing any content from the App without prior written consent from Ticketnshop.
Engaging in any illegal activity or using the App for unlawful purposes, including but not limited to fraud, data theft, or any action that could harm Ticketnshop or its customers.
Using the App in any way that disrupts, damages, or impairs the App's functionality or interferes with other users' access to the App.
Conducting data mining, data harvesting, data extracting, or any similar activities in relation to the App without explicit permission.
Circumventing, disabling, or otherwise interfering with security-related features of the App.
Ticketnshop reserves the right, at its sole discretion, to restrict or terminate your access to the App at any time, with or without notice, for any violation of these Terms. You are responsible for maintaining the confidentiality of your user ID and password and for all activities conducted through your account.
4. User Content and Interface
"User Content and Interface" refers to any data, information, audio, visual, text, images, or other materials you submit, post, or display on the App. By providing User Content, you grant Ticketnshop a non-exclusive, irrevocable, royalty-free, worldwide, transferable, and sublicensable license to use, reproduce, distribute, publicly display, modify, and create derivative works of such content in connection with the App and its operation.
You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to grant the above license to Ticketnshop, and that your User Content does not infringe or violate any third-party rights, including intellectual property, privacy, or publicity rights.
5. Data Privacy
Ticketnshop is committed to safeguarding your personal information. All personal data, including but not limited to your name, address, age, images, and financial details, will be handled in accordance with our Privacy Policy, which is incorporated by reference into these Terms. While Ticketnshop takes reasonable precautions to protect your data, we cannot guarantee absolute security, and you acknowledge that you provide your information at your own risk.
6. Ticket Validity and Usage
Tickets purchased through the App are valid only for the specified event or service and are subject to the terms and conditions stated at the time of purchase. Tickets may not be transferred, resold, or used for any commercial purpose without prior written consent from Ticketnshop. Ticketnshop reserves the right to cancel or invalidate any ticket that has been transferred or resold in violation of these Terms.
7. No Warranties
The App is provided on an "as is" and "as available" basis. Ticketnshop makes no representations or warranties, express or implied, regarding the operation of the App or the information, content, materials, or products included therein. To the fullest extent permitted by law, Ticketnshop disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
In no event shall Ticketnshop, its affiliates, directors, employees, agents, or licensors be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising out of or in connection with your use of the App, whether based on contract, tort, strict liability, or otherwise, even if Ticketnshop has been advised of the possibility of such damages. This limitation of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of, or unauthorized access to, alteration of, or use of your records or data.
9. Indemnification
You agree to indemnify, defend, and hold harmless Ticketnshop, its affiliates, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees and court costs) arising out of or in any way connected with your use of the App, your violation of these Terms, or your violation of any rights of a third party.
10. Severability
If any provision of these Terms is found to be invalid or unenforceable under applicable law, such provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect.
11. Changes to Terms
Ticketnshop reserves the right to modify or update these Terms at any time, at its sole discretion, with or without notice. Your continued use of the App following any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms regularly.
12. Assignment
Ticketnshop may assign, transfer, or subcontract its rights and obligations under these Terms without your consent or prior notice. You may not assign, transfer, or delegate any of your rights or obligations under these Terms without Ticketnshop's prior written consent.
13. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or terms expressly incorporated herein, constitute the entire agreement between you and Ticketnshop regarding your use of the App and supersede all prior agreements, understandings, or representations.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Nepal. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Kathmandu, Nepal.
15. Acknowledgment
By using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. You further acknowledge that you are at least 18 years of age and have the legal capacity to enter into these Terms.
I declare that I am at least 18 years or older and with sound mind to understand these terms.
I, User, have read and understood the Terms and shall abide and bind by the terms and conditions mentioned in the Terms.
